Structuring for foreign investors establishing a U.S. presence
Relocating from Canada to the United States triggers more than a change of address. It triggers a tax event on both sides of the border. Under subsection 128.1(4) of the Canadian Income Tax Act, a departing resident is generally deemed to have disposed of most property at fair market value on the date tax residency ends, creating a “departure tax” liability even though no asset has actually been sold. At the same time, the move creates new U.S. filing obligations under the Internal Revenue Code and the terms of the Canada-U.S. Income Tax Convention. Missing either side can mean double taxation, penalties, or years spent unwinding avoidable exposure.
This is one of the areas where our cross-border practice does its deepest work. As a firm licensed as CPAs in both Canada and the United States, we plan the move itself, not just the returns that follow it.
